Sopra Steria set to complete €518M acquisition of Ordina

The Dutch IT service provider Ordina is set to be acquired by Sopra Steria officially. The French company will pay about 518 million euros to take the reigns.

Both parties had been in talks since March this year about a takeover of Ordina. In particular, the deal aimed to combine both parties’ activities in the Benelux region. They want to accelerate the growth of operations in the Benelux region, expand the geographical footprint, share more knowledge and attract talent.

Negotiations since March 2023

Sopra Steria offered 5.75 euros per Ordina share in July this year. Both companies recently reported that this offer was finally accepted without further conditions. Ultimately, 92.73 percent of the outstanding shares were secured by the French IT services provider for the stated price.

Ordina’s General Meeting of Shareholders (AGM) lowered the desired takeover target from 95 percent of all shares to 80 percent, making Sopra Steria now an automatic owner.

The acquisition also means that Ordina will disappear from the Euronext stock exchange in Amsterdam.
